The Provider is an educational cross device platform dedicated to brain fitness. End-users can train their brain through game experience to: Improve the ability to solve problems; Speed up the brain response; Enhance memory and attention and improve cognitive abilities. The end-users can access the service through desktop PC or, mobile optimized website. Provider Premium end-users can play different brain training games on their device. For this, the user should subscribe to the service and pay a fee to receive access and credits to play. The user can cancel the subscription at any time.

Sign-up / Registration

To subscribe Provider services the user should subscribe to the Service with any acceptable credit card (VISA, MASTERCARD, AMEX, DINERS, and others). By doing so and/or using the service the End-user acknowledge and confirm the Terms & Conditions. Upon successful subscription to the Service, the end user will receive a message to his email with details about method, frequency and cost of the service receipt, as well as precise unsubscribe details.

Subscription

The Provider is an ongoing subscription service. By starting your membership, you are expressly agreeing that we are authorized to charge you a monthly membership fee at the then current rate, and any other charges you may incur in connection with your use of the Provider service to the Payment Method you provided during registration (or to a different Payment Method if you change your account information). The End-user can cancel the subscription at any time.

Prices for each product are listed on the Website (see prices) and include the Value Added Tax ("VAT"). We reserve the right to offer, under our own commercial criteria, discounts, or other promotion (hereinafter, "Promotion") to You through the Website. Promotional offers or changing fees shall be properly marked and identified as such, and will display the previous price and the offer price. By agreeing to these Terms You acknowledge that the amount billed may vary from each Subscription Period, which may include differing amounts due to promotional offers or changing fees. You will be notified by us through email regarding such fees adjustments (“Fees Adjustments”). In order to continue using the Service Subscription following the Fees Adjustments, You must expressly agree to the adjustment in price for the Service Subscription or any other Content. You may not use the Service Subscription if You do not accept such new Terms and in such case You may cancel the Service Subscription, according to the procedure set forth in Cancellation Clause herein. We will send You by email a copy of the new Terms accepted by You.

The membership fee for our service will be billed on a monthly basis to your Payment Method on the calendar day corresponding to the commencement of your paid membership.

Form of payment: Fees shall be paid by Credit card (Visa, Mastercard, American Express and Discovery). Payments are non-refundable and there are strictly no refunds or credits for partially used Subscription Periods unless the Service subscription is not correctly provided in accordance to the present Terms.

If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not change your Payment Method or cancel your account, we may suspend your access to the Service until we have obtained a valid Payment Method. You authorize us to continue billing the Payment Method, as it may be updated and you remain responsible for any uncollected amounts. This may result in a change to your payment billing dates. For certain Payment Methods, the issuer of your Payment Method may charge you a foreign transaction fee or other charges. Check with your Payment Method service provider for details.

Provider, within the limits allowed by law, is not responsible for any inconveniences or damages caused by usage of the particular Payment Method, especially delays or impossibility to make payment. In such case you should complain about those services to their provider, in the manner provided by their terms and use.

Cancellation

You may cancel your membership at any time and you will continue to have access to the Service through the end of your monthly billing period. Please note that you must cancel your subscription before it renews each Monthly Period in order to avoid the next billing. If you cancel your subscription, cancellation will be effective at the end of the current Monthly Period -this means that you will have continued access to the Site for the remainder of that period, but you will not receive a refund.

Any suspension, termination or cancellation will not affect your obligations to provider under these Terms of Use (including, without limitation, proprietary rights and ownership, indemnification and limitation of liability), which by their sense and context are intended to survive such suspension, termination or cancellation.

At any time, and for any reason, we may provide a refund, discount, or other consideration to some or all of our members ("credits"). The amount and form of such credits, and the decision to provide them, are at our sole and absolute discretion. The provision of credits in one instance does not entitle you to credits in the future for similar instances, nor does it obligate us to provide credits in the future, under any circumstance.

After any termination, you understand and acknowledge that we will have no further obligation to provide the Site or Services and all licenses and other rights granted to you by these Terms of Use will cease immediately. Provider will not be liable to you or any third party for termination of the Site or Services or termination of your use of either. Upon any termination or suspension, any content, materials or information (including user submissions or translated content) that you have submitted on the site or that which is related to your account may no longer be accessed by you. Furthermore, Provider will have no obligation to maintain any information stored in our database related to your account or to forward any information to you or any third party.

Provider is concerned with your security and protects you from fraud. In the event of a charge to your account that you do not recognize, have not authorized, and that is not related to yourself neither directly nor indirectly, Provider will reimburse you for the full amount. Costs and Fees

Payments are non-refundable and there are strictly no refunds or credits for partially used Service subscription periods unless the Service subscription is not correctly provided in accordance to the present Terms..

Charges are debited against the End-user's account by the credit card companies; The End-user hereby expressly grants his or her authorization for charging, and commits to payment in full for the charges incurred as a result of subscribing and/or using the Provider service.

By subscribing and/or participating in the Service, presumes that End-user has obtained the necessary permission, consent or approval from the payer of the credit card bill, guardian or parents.

Free trial

Your membership may start with a free trial. You will have a days period to enjoy for free a Service or as otherwise specified during registration (“Free Trial”). Your premium account subscription period, will begin when successfully completing your payment details during the registration process, unless another membership is chosen after the payment details completion. You will be notified during sign-up whether you are eligible for a free trial.

Services

Upon successful registration to Provider service and payment of the membership fee, you will receive an email message with the login information to Provider game website: ("Website"). The Website is compatible with desktop and mobile browsers.

In order to play the Proider game, you should login our Website and click the “start play” button. Provided that the fee was collected successfully, the end-user will be able to play Provider games and win the prize.

Every game consists of a randomly sixty (60) brain training questions, in four different categories. Each category have 5 easy questions, 5 medium questions and 5 hard questions. The target is to answer as many questions correctly, in the shortest possible time.

At the end of each Calendar month, the User with the highest Score will win the prize according to his/her choice, in the initial registration, with the value of up to $2000. Once the winning User was chosen, he/she will receive an email notification which the User will have to respond to in 7 days in order to receive the prize. If the User did not respond, the winner in the prize will be the following highest score for the calendar month.

Calculation of Winning prize and prizes

At the end of each game, the user will be provided with his result, performance statistics and other useful information about the game. The results will be displayed on the Provider’s Website on the personal Leader-Board and on the public Leader-Board, where the User can track his own statistics and chances to lead the monthly score.

The Provider will announce the winning User according to the following calculation: Each question has its own score according to its difficulty level (easy, medium and hard) calculated by the total reply time = total user score (the “Score”).

The Score formula:

End-user must provide all compatible mobile phone, hardware or other devices and software and ensure that they are in working order and suitable for the Provider services. cannot guarantee that the Provider services meet the requirements of the end-user and that the download, receipt and/or viewing of the Provider services shall be free of interruption or errors.

If at any time the End-user is unable to make uninterrupted use of the Provider Services, this shall in no way lead to any right to reduction of the charges for the Provider Services nor to any right to restitution of payments previously paid.

Any usage of the Provider services are at the end-user’s own discretion and risk and that under no circumstances shall be held liable for damage of any kind, including but not limited to infections or contamination or loss of data or damage(s) of the end-users hardware and/or software resulting from access to the Website or use of the Provider services or downloaded Provider services, including the hardware and software required to connect to the Provider services. It is the responsibility of the end-users to take the necessary measures to avoid potential damage of this nature.

In the event that for any reason whatever is held liable to compensate the end-user for direct or consequential damage of any kind, such compensation shall on no account exceed the invoice value of the Provider Services paid by the end-user for the alleged damage.
